Welcome to Gator Media Group. These Terms of Service ("Terms") govern your use of our website and services, and your relationship with Gator Media Group ("we," "our," or "us"). Please read these Terms carefully before using our website or engaging our services.
By accessing or using our website or services, you agree to be bound by these Terms. If you do not agree to all the terms and conditions of this agreement, you may not access the website or use any services.
Services
Gator Media Group provides web design, development, and related digital services. The specific deliverables, timeline, and payment terms for each project will be detailed in a separate contract or statement of work agreed upon by both parties.
Client Responsibilities
As a client of Gator Media Group, you agree to:
- Provide accurate and complete information necessary for the completion of services
- Review and provide feedback on deliverables in a timely manner
- Obtain any necessary third-party permissions for materials you provide to us
- Make payments according to the agreed upon schedule
- Comply with all applicable laws and regulations in relation to the content and operation of your website
Intellectual Property Rights
Our Intellectual Property
The website, its contents, and our services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the property of Gator Media Group or its content suppliers and are protected by United States and international copyright, trademark, and other intellectual property laws.
Client Content
You retain ownership of all content you provide to us, including text, images, and other materials. You grant us a license to use, reproduce, and modify this content as necessary to provide our services.
Deliverables
Upon full payment, and unless otherwise specified in a separate agreement, the client will own the deliverables specifically created for the client by Gator Media Group, excluding third-party elements and our pre-existing intellectual property.
Gator Media Group retains the right to display and link to your completed project as part of our portfolio and to write about the project on websites, in magazine articles, and in books about design.
Payment Terms
Payment terms will be specified in each client contract or statement of work. Unless otherwise stated:
- A non-refundable deposit is required to commence work
- Final deliverables will not be released until full payment is received
- Late payments may incur additional fees
- We reserve the right to suspend services for accounts with outstanding balances
Cancellation Policy
Either party may terminate the service agreement as specified in the client contract. In the event of cancellation:
- The client is responsible for payment of all work completed up to the date of cancellation
- Any non-refundable deposit will be retained by Gator Media Group
- Early termination fees may apply as specified in the client contract
Warranty and Disclaimer
Gator Media Group warrants that the services will be performed in a professional manner consistent with industry standards. We will correct any services not in compliance with this warranty brought to our attention within 30 days of delivery.
EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of Liability
IN NO EVENT SHALL GATOR MEDIA GROUP BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (iii) ANY CONTENT OBTAINED FROM THE SERVICES; AND (iv) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNT PAID BY YOU TO GATOR MEDIA GROUP FOR THE SERVICES GIVING RISE TO THE CLAIM.
Indemnification
You agree to defend, indemnify, and hold harmless Gator Media Group and our officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the services; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your content caused damage to a third party.
Governing Law
These Terms shall be governed and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located within Pennsylvania.
Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. The updated version will be indicated by an updated "Last Updated" date. Your continued use of our website or services after any such changes constitutes your acceptance of the new Terms.
